
John Martino leads our business law practice, serving as business attorney to companies throughout New Jersey. He began his legal career negotiating software and technology licensing agreements at Oracle and spent nearly two decades on the business side of enterprise technology.

We review and negotiate office, retail, warehouse, and industrial leases, along with the vendor, equipment, and services agreements a business signs in the ordinary course.
We represent buyers and sellers in asset and equity purchase transactions, including letters of intent, purchase agreements, representations and warranties, escrow and earnout terms, transition arrangements, and diligence. Matters requiring securities counsel are referred to attorneys who concentrate in that work.
We draft offer letters, contractor agreements, confidentiality and invention assignment terms, and restrictive covenants for New Jersey businesses as part of a company's contract set. Employment disputes and matters requiring depth in employment law are handled by our employment attorneys.
John Martino spent three years at Oracle as a contracts manager negotiating software and technology licensing agreements across the company's partner base, and the following decade and a half negotiating agreements like them from the business side at Oracle, SAP, and Salesforce. He has also founded and run businesses of his own outside the practice of law. He has drafted these terms, negotiated them with a deal on the line, and signed them as an owner, which shapes how he reads an agreement and what he tells a client about where to push.
